We must that Italian System of Commercial Law armis to answer to a different set of questions than those in the common law systems. Thus, it is impossible a precise translation in English.The course has as object the learning of italian Business Law, Enterprise Law, Competition Law, Business Organizations, Bankruptcy Law, Commercial Papers and Securities Law.

In any case, for the purposes of the examination, any other text intended for italian university teaching, provided that it is updated to current law, can be chosen by the student.
It is essential to consult the legislative texts related to the exam topics in an updated edition.
Educational objectives
The aim of the course is to get students to acquire fondamental knowledge of Private law of the company, providing them with a method of solving legal problems, in order to appreciate the current differences between the the different procedures and to learn the conditions of access and the individual stages in which each procedure unravels, as well as to know the effects that each competition procedure has on the company concerned and its creditors.
Prerequisites
Adequate knowledge of Private Law.
Teaching methods
The course will be organized in lectures, theoretical-practical discussions. During the course, practical cases will be presented, in order to analyze the various problems that each topic can offer and to stimulate the students to identify the best solution.

Attendance at classes is highly recommended.
Learning verification modality
Oral examination. The exam will be evaluated according to the following criteria: the relevance of the answers to the questions formulated the quality and comprehension of the contents the ability to link with other topics covered by the program the ability to report examples the property of technical language the overall exhibition capacity of the student familiarity with legal texts.
Extended program
1) The entrepreneur in general and his status; the company; trademarks and intellectual property; competition law; consortia and consortium companies. 2) Companies in general. Partnerships: simple companies, collective partnerships and limited partnerships. 3) The public limited company: general features and company formation; share capital, contributions and shares; bonds; groups of companies; corporate structure: shareholders' meeting, administration and control bodies; financial statements: general profiles; statutory modifications; introduction to extraordinary corporate operations; dissolution of joint-stock companies. 4) Other types of joint-stock companies: limited liability companies and limited partnerships for shares. Cooperative companies. 5) Credit titles: general profiles. Billing bonds: draft, check and bank draft. 6) The crisis of the individual and collective enterprise and its possible resolution, both from a liquid and conservative perspective. The judicial settlement procedure and the main legal instruments of the negotiation settlement of the crisis (preventive agreement, debt restructuring agreements, recovery plans).
